PARTNER PROGRAM TERMS
Last updated: October 27, 2026
These Terms are an agreement between you, under the name and mailing address you give us, and SYNERGY FACTOR INC, a Delaware corporation (“LeadWinner,” “we,” “us”), about our Partner Program (“Program”). You accept them by signing up, sharing your partner link, or accepting a payout. If you accept for a company, “you” means that company, which you confirm you can bind.
1. JOINING
You must be at least 18 and of the age of majority where you live, and live in a U.S. state other than New York State, or in Washington, D.C. A company must be organized and based there, with no registration or office in New York State. You may not be on a U.S. sanctions list or be an employee of, or an individual contractor for, LeadWinner, Yelp, Thumbtack, Google, or another lead platform (their users and creators are welcome). If you never met these requirements, you earn nothing. If you stop meeting them, your participation ends that day; tell us within 30 days. One partner account per person or business.
2. REFERRALS
A new customer is your “Referred Customer” if our partner software (currently Rewardful) records that, within 60 days after first clicking your partner link, it created a LeadWinner account and completed its first lead-response plan checkout (a free-trial checkout counts). The last partner link clicked gets the credit; later clicks never move it. Links must point to leadwinner.ai, www.leadwinner.ai, or get.leadwinner.ai; clicks on Google or Microsoft ads don’t count. Our partner software’s records decide credit, and we correct only obvious errors in recorded referrals; a referral it did not record earns nothing.
You earn nothing on:
- yourself, your household, company, employer, or employees, or a business owned or controlled by any of them or under common control with yours;
- anyone who already had a LeadWinner account or a lead-platform profile connected to LeadWinner;
- customers you (or anyone for you) pay for;
- customers covered by another referral or commission arrangement with us;
- test accounts, or referrals involving fraud, false information, or a breach of these Terms.
3. COMMISSIONS AND PAYOUTS
For promoting LeadWinner with your partner link, you earn 35% of the Net Revenue we collect from each Referred Customer in the 12 months after its first plan checkout. “Net Revenue” is what we collect for lead-response plans and per-lead charges, after discounts and credits, excluding taxes, number-store purchases (business phone numbers), other add-ons, one-time fees, third-party amounts, and anything refunded, charged back, or lost in a payment dispute.
- A commission is earned 30 days after we collect its payment, unless that payment is refunded or charged back first.
- We may hold commissions during a payment dispute, for up to 60 days while we check for fraud or breach, or while we verify your eligibility, identity, or payout details.
- We may reverse any commission, even after paying it, if its payment is refunded (in proportion), charged back, or lost in a payment dispute, or if it was credited in error or breach. We may deduct anything you owe us, including overpayments and unpaid LeadWinner invoices, from unpaid or future commissions, or require you to repay it within 30 days.
- A Referred Customer’s request to stop referral sharing or delete its referral record ends commissions on its later payments.
- By the 20th of each month, we pay commissions earned by the previous month’s end and not on hold, in U.S. dollars, with no minimum and no invoice needed.
- We pay only by PayPal, to the PayPal email in your partner account or, if it is blank, your login email; you agree to receive payouts, and PayPal’s emails about them, there. Keep your partner account and email secure. We may rely on that address, including changes made through your partner account, and a payout is complete when sent unless returned to us. The PayPal account must be in your or your company’s name.
- We hold a failed or returned payout and resend it once the problem is fixed; you never lose earned commissions because a payout failed, and after reasonable efforts, unclaimed-property law applies.
- Report a missing, wrong, or reversed commission in writing within 60 days after you could reasonably have noticed it, for example in your partner account or a payout; after that, our records are final, except for obvious errors.
- Taxes on commissions are yours. Where the law requires, we may request tax information, hold payouts until we get it, and withhold or report taxes.
4. HOW TO PROMOTE
Disclose. Clearly say that you earn a commission, in the language of your content, next to every link or recommendation and before any “more” cutoff, for example: “I earn a commission if you sign up through my link.” In video, say it aloud and show it on screen when you first recommend LeadWinner; in audio, say it aloud; in live streams, repeat it periodically. A bio note, “#sp,” “affiliate link,” or a platform label alone is not enough.
Be truthful. Follow the law, including FTC endorsement rules. Make only claims you can support, and never promise results or income. Quote no numbers about LeadWinner except our current prices (plus tax) and free-trial length. Never call LeadWinner “free” or say “no credit card required.” If you mention the free trial, say in the same place that it is for new customers only, needs a card, and turns into a paid plan unless canceled before it ends. Never use Yelp, Thumbtack, or Google logos, or claim that you or LeadWinner is their official or approved partner.
Our name. You have a limited, revocable license, to the extent of our rights, to use our name and unaltered materials only to promote LeadWinner under these Terms. All goodwill from that use is ours. Keep our name, and anything similar, out of domains, handles, account names, business names, trademark applications, and tracking codes.
Never:
- send spam, including unsolicited direct messages, or email anyone who did not opt in to hear from you;
- call, text, or fax anyone, except in a live one-to-one conversation the other person started;
- use robocalls, autodialers, ringless voicemail, or prerecorded or AI voices;
- bid on or show our name, or anything similar, in ads, or link search ads straight to us;
- use coupon, deal, or cashback sites, discount codes, or rewards for sign-ups;
- promote LeadWinner through LeadWinner itself or in messages on lead platforms, or post fake requests there;
- post fake or rewarded reviews, impersonate anyone, or call yourself our official partner, reseller, or staff;
- commit fraud, such as cookie stuffing, bots, or fake accounts, or help customers cancel and sign up again;
- post unlawful, hateful, sexually explicit, or child-directed content, real people’s contact details, or screenshots showing real people’s names or messages, or ask anyone for passwords;
- use sub-affiliates without our written consent.
You are responsible for anyone promoting for you. When asked, tell us where you promote, and fix or remove content within 3 business days. Our review of your content, or paying you, does not mean we approve it.
5. ENDING AND CHANGES
- Either of us may end your participation, and we may end the Program, at any time, for any reason, by email.
- If you break these Terms, we may also suspend your account (new referrals are not credited while it is suspended) and hold your unpaid commissions against what you owe us.
- After your participation ends, only customer payments collected before the end date earn commissions, unless we ended it, not by ending the Program, and you have not broken these Terms; then your Referred Customers as of that date keep earning you commissions. Stop using our name and your partner link. Everything except the license in Section 4 survives.
- We may change these Terms or the Program. We email you each change to these Terms, with a link to the new version, at least 7 days before it takes effect (30 days if it lowers commissions) or, if it is required by law or needed to stop fraud or fix a security issue, by the time it takes effect. No change lowers commissions on customers who became Referred Customers before it takes effect. If you disagree, you may end your participation by email; continuing after a change takes effect means you accept it.
6. RELATIONSHIP AND DATA
You are an independent contractor; these Terms create no partnership, employment, or agency. You decide whether and how you promote LeadWinner, pay your own costs, and cannot bind us. Non-public Program information, including anything we show you about your Referred Customers, is confidential. Use it only to track your referrals, never to contact or market to them. Protect it as privacy laws require, and delete it when you leave or we ask. You agree to the use of partner data described in our Privacy Policy, including your name in referral cookies and your name and email in payment records of customers credited to you.
7. LIABILITY AND INDEMNITY
The Program and our partner software are provided “as is,” with no guarantee of referrals, earnings, or tracking. We are not liable for lost profits or for indirect, incidental, special, or consequential damages. Our total liability for all claims about the Program is limited to the commissions you have earned and we have not paid, plus $100. This applies to the extent the law allows.
You will defend, indemnify, and hold harmless LeadWinner and its officers, directors, employees, and agents against third-party claims, including government actions, and related losses, fines, and costs (including reasonable attorneys’ fees) arising from your promotion, breach of these Terms, or violation of law, or from anyone promoting for you, except to the extent we caused them. We may control the defense; you may not settle without our written consent.
8. DISPUTES
- California law, without regard to its conflict-of-law rules, governs these Terms and all disputes about the Program between you and us or our officers, directors, employees, or agents (“Disputes”).
- Before filing a Dispute, a party must give the other written notice describing it, and both must try in good faith to resolve it for 30 days, during which filing deadlines pause.
- Disputes may be brought only in the state or federal courts in California, including small claims court, and both of us consent to their jurisdiction. Either of us may, without notice first, ask any court to stop misuse of a name, trademark, confidential information, or data, or to enforce the indemnity in Section 7.
- The governing-law and dispute-resolution sections of any version of our Terms of Service (now Sections 19 and 20, including arbitration and the class-action waiver) do not apply to Disputes, including Disputes over amounts we deduct under Section 3, even if you are or become a customer. A court, not an arbitrator, decides whether a claim is a Dispute.
- To the extent the law allows, a Dispute must be filed within one year after the party bringing it knew or should have known of it, or, for a claim under the indemnity in Section 7, within one year after we finish paying the loss.
- Each side pays its own attorneys’ fees in Disputes, unless a statute provides otherwise.
9. GENERAL
Notices to you, including unclaimed-property notices, go to your partner account email, effective when sent; send yours to [email protected], subject “Partner Program.” These Terms are the entire Program agreement and, on Program matters, control over our Terms of Service, our guidance, and anything our partner software shows or sends you; only a written agreement signed by both of us overrides them. You may not assign these Terms, including by merger or change of control, without our written consent; we may. Unenforceable parts are severed, non-waivable legal rights are not waived, not enforcing a term is not a waiver, and delays beyond our reasonable control are excused. Our officers, directors, employees, and agents may rely on Sections 7 and 8.
